What does business setup include?

Everything the firm has long offered for new and expanding companies:

Why have a tax professional form your company?

Because the structure you file decides how you are taxed for years. The Texas Secretary of State is clear that "designations such as 'S,' 'C,' or '501(c)(3)' refer to federal tax provisions" and that it cannot tell you which entity fits (Texas SOS formation FAQs). An online filing service will submit a form; it will not tell you whether an S corporation election saves money at your profit level.

Blaga is an Enrolled Agent with years as a controller and as the owner of a manufacturing business, so she sees both the tax side and the operating side. Legal questions about your governing documents remain for your attorney.

Which Texas entities owe franchise tax?

Corporations, LLCs and limited partnerships formed with the Secretary of State "must also pay Texas franchise taxes," according to the SOS (Texas SOS). Sole proprietorships, by contrast, are "completely exempt from the franchise tax," per the Comptroller (Texas Comptroller). The Comptroller's annual report is due May 15, and for 2026 and 2027 reports, entities at or below the $2,650,000 no-tax-due threshold owe no tax but still file a Public Information Report or Ownership Information Report (Texas Comptroller franchise tax). Putting that date on the calendar from day one avoids a common first-year miss.

Do you have to be a U.S. citizen to form a Texas company?

No. The Secretary of State says "Texas law does not restrict who can form or have an ownership interest in a business entity," other than that the organizer must be able to enter into a contract (Texas SOS formation FAQs). Foreign owners do face extra federal questions, covered on the foreign companies page.

What happens after the certificate is filed?

The tax setup begins. A new company typically needs a federal Employer Identification Number, a bank account in the company's name, a bookkeeping system, and a calendar of federal and Texas due dates. The firm can carry the company from there: bookkeeping, the first business tax return, and the annual franchise report.

How does setup work with the firm, step by step?

It starts with a free consultation about what the business will do, who owns it, and how you want to be taxed. From there the firm confirms the name, arranges the registered agent, and prepares the Texas filing. Once the state approves it, the federal EIN follows, and the bank account and books are set up around it. Each step builds on the last, and the same office stays with the company for its first franchise report and its first federal return. You are never handed off to a separate filing service halfway through.

Questions

Questions people ask

Q1Should I form an LLC or a corporation in Texas?

For most small owner-run businesses, an LLC is simpler to run and can still elect to be taxed as an S corporation later. A corporation can make sense when you plan to bring in investors or issue stock. The decision depends on your plans and numbers, so it belongs in a consultation.

Q2Can I form my Texas LLC online myself?

Yes. The Secretary of State accepts certificates of formation online through SOSPortal. Many owners still want help choosing the structure, writing the filing correctly, and setting up the tax side that follows.

Q3Do you write operating agreements or give legal advice?

No. Tax & Business Solutions handles the registration filings and the tax side. Operating agreements, bylaws and legal advice are for your attorney, and the firm is happy to work alongside one.

Q4Can a foreign owner form a Texas company through you?

Yes. Texas does not require owners to be U.S. citizens or residents. The firm forms or registers the company, can act as its registered agent, and helps with the U.S. bank account and federal filings that follow.

Q5What do I need ready before the filing?

A business name, the owners and how much each holds, who will manage the company, and a Texas registered agent. If you are not sure about the agent, the firm can serve in that role.
